Improving the Changed Circumstances in the Civil Code of PRC

《民法典》以立法形式对情势变更予以确认,是对原有合同履行原则“情势不变理论”的修正,以此适应错综复杂、不断变化发展的社会生活,达到维护社会生活秩序和公平正义的目的。情势变更制度对于弥补非因不可抗力、商业风险导致的合同继续履行明显不公平时的救济具有重要意义。情势变更认定条件的规范化、具体适用情势变更存在的认定标准不明确、重新协商的程序等问题,一直困扰着司法实务部门。完善情势变更适用的具体认定标准,规范重新协商的程序,合理分担因情势变更造成的损失。

The principle of changed circumstances has been defined in the Civil Code of PRC with the view to fitting the complex requirements and constant development of society,maintaining the order and justice of society,which is an amendment to the theory of“contract must be kept”in original contract performance.The changed circumstances is significant when the party suffers obvious unfairness for continuance of performance in a contract which is not caused by force majeure or commercial risk.Some problems,such as specifying an identification standar...
